Represented the shareholders of Skyway Concession Company LLC, the concessionaire and operator of the Chicago Skyway toll bridge facility, in connection with the sale of the equity interests of the concessionaire to CPPIB, OMERS and OTPP. Represented a subsidiary of Berkshire Hathaway Energy Company in connection with its acquisition of Grande Prairie Wind, LLC and its wind-powered generating facilities development project (up to 400MW) in Nebraska and Geronimo Community Solar Gardens, LLC and its solar generating facilities (up to 74MW) in Minnesota. Represented a major manufacturer of wind turbines in connection with credit support provided as part of a sale of wind turbines. Represented an underwriter with its purchase of notes issued by a major Argentine telecommunications company through two Rule 144A/Reg S offerings in connection with separate refinancings of the issuer’s existing debt and sale of credit-linked notes. Represented the lead arranger and initial lender in connection with an unsecured term loan extended to an Argentine telecommunications company. Represented a private sponsor group (comprising an international infrastructure fund and domestic engineering and construction companies) in connection with its bid to design, build, finance and maintain the Pennsylvania Rapid Bridge Replacement Project. Represented Cintra US in connection with its bid to acquire the right to develop, design, construct, finance, operate and maintain the SH 183 Managed Lanes Project in Texas. Represented Autopistas Metropolitanas de Puerto Rico, Puerto Rico’s largest private toll road concessionaire in the refinancing of $750 million of outstanding senior debt through a Rule 144A/Reg S offering of $435 million in senior secured notes and the extension of its related letter of credit facility. Represented a private sponsor group in connection with its bid to acquire the lease and rights to manage and operate the terminals, runways, parking garages and other facilities, buildings and improvements constituting Chicago Midway International Airport. Represented a major international infrastructure fund as borrower in connection with the extension of a subscription-backed revolving loan and letter of credit facility. Represented NYNJ Link in connection with its successful bid for the 35-year concession awarded by the Port Authority of New York and New Jersey to design, construct, operate and maintain a replacement bridge connecting Staten Island, New York, with Elizabeth, New Jersey, and demolish the existing bridge, and with the issuance of $460.9 million in tax-exempt private activity bonds and a $474 million loan facility with the U.S. Department of Transportation. Represented Telefónica Celular del Paraguay S.A., the leading mobile service operator in Paraguay and a wholly owned subsidiary of Millicom International Cellular S.A., in connection with its issuance of $300 million of its senior unsecured 144A/Reg S bonds, the first ever international bond issuance by a corporate issuer from Paraguay. Represented Citigroup Global Markets, Inc. in connection with its $300 million senior secured credit facility to Puma Energy Centam, a petroleum wholesaler engaged in downstream oil and gas activities in various Central American countries. Represented private sponsor group in connection with its bid to procure the lease and right to operate the Luis Munoz Marin International Airport in Puerto Rico. Represented Goldman Sachs International as placement agent in connection with private cross-border, mortgage-backed securitizations by the Fondo de la Vivienda del Instituto de Seguridad y Servicios Sociales de los Trabajadores del Estado, the mortgage fund for government employees in Mexico. Represented joint lead arrangers in connection with the refinancing of a senior secured credit facility extended to a leading provider of drilling and management services for oil and natural gas companies in Latin America in connection with an organizational restructuring.
