Amy Moss represents public and private companies in a broad range of national and international corporate, finance, real estate and commercial transactions. Her practice is focused on mergers and acquisitions, divestitures, corporate and debt restructurings, private placements, general business transactions and contracts, joint ventures, commercial lending transactions, and corporate governance. She provides cost-effective general counsel representation to privately owned businesses, venture capital and private equity funds, family offices, portfolio companies, strategic acquirers, emerging growth businesses, and entrepreneurs.
As an outside general counsel, Amy also advises on matters related to contract negotiation (including master services/product supply agreements), establishment and maintenance of legal entities, corporate compliance, intellectual property and software licensing agreements, executive compensation and employment matters, including employment and severance agreements and incentive equity plans. Her clients span a diverse range of industries, including oil and gas exploration and production, oil field services, specialty chemicals, intellectual property development, software, healthcare, entertainment and the arts, bioscience and medical technology, clean energy, investment management and financial services and non-profit organizations. Amy assesses clients’ business and legal needs and delivers collaborative, practical and results-focused advice, agreements and plans to address those needs with a focus on providing a sound legal framework, as well as efficiency and ease of use.
Amy has served as an advisor to clients with all types of M&A transactions, including mergers for cash and stock, forward and reverse triangular mergers, sales of assets, sales of stock, joint ventures, recapitalizations, roll-up transactions, exchange offers and restructuring transactions. She also has represented clients in securities and capital markets transactions. Her experience includes assisting issuers in a full range of public and private equity and debt offerings, including international public offerings on the Alternative Investment Market (AIM) of the London Stock Exchange.
