Ryan Wheeler is an attorney in the firm’s Tax and Trusts & Estates practice groups who assists clients with a variety of federal income tax matters involving passive activity losses, net operating losses, and partnership outside basis calculations. He advises clients on negotiating tax provisions of purchase and sale agreements, including provisions related to tax covenants, tax deferred rollovers, tax indemnities and complex tax escrow arrangements. He has also conducted buy-side and sell-side tax due diligence and structuring advice for domestic and cross-border acquisitions, as well as developed tax reform and bankruptcy models and expanded tax sections of financial deal models.

Ryan’s background includes working as a manager and senior associate for KPMG LLP in Dallas, where he advised clients on a variety of issues, including structuring issues arising in mergers, acquisitions, internal restructurings, divestitures, in and out of court debt workouts, and entity formations. He conducted extensive transactional tax planning, such as due diligence for both private equity and strategic clients.
