Represented the management team of a startup organization in the formation of a new company to acquire, develop, own and operate memory care and Alzheimer’s facilities. Bradley provided strategic advice regarding the formation of the new business entity, negotiated the terms for initial round of Series A preferred stock capitalization for the company, investor rights and investment capital transaction documents, and employment contracts for the management team. The team also negotiated the Asset Purchase Agreement to acquire a facility in Florida and prepared the real estate acquisition and development transaction documents for a new facility in Texas. The transactions were valued at approximately $25 million.
Provided counsel on the construction of a replacement hospital and healthcare facilities in Murfreesboro, Tennessee. Bradley attorneys represented the client in the sale of the former hospital property site and on the new building site for the hospital and medical office buildings. The $650 million deal also included the REIT transactions for the sale-lease back of the MOBs.
Represented client in the disposition of three hospitals in Oklahoma to a third party buyer and sale of a fourth to the Hospital Authority, with seller financing.
Represented a healthcare company in the negotiation of a new headquarters office lease for 100,000 square feet in Tennessee.

Medical Office Buildings
Represented a healthcare provider in connection with the negotiation and preparation of leases for a total of 49,000 square feet of space in a new medical office building. The space is being used to house seven of the provider’s service lines. Representation included structuring the leases to obtain the desired accounting treatment, negotiation of the covenants, conditions, restrictions and easements for the MOB project, and negotiation of the requirements for the core & shell improvements.
Represented SouthStar in the $17,000,000 healthplex and medical office building development in Jackson, Mississippi. Negotiated the ground lease with hospital, reciprocal easement agreement with hospital, construction financing with bank, construction contract, and tenant leases with hospital, orthopaedic, surgery center and other tenants of 100% leased project while under construction. Project was one part of three phases with the total value exceeding $750,000,000.
Served as outside counsel in the purchase of a portfolio of 22 medical office buildings across the U.S., valued at more than $220 million.
Assisted affiliates of nonprofit health system operating four hospitals in Middle Tennessee with the sale and ground leasing transaction of six medical office buildings for nearly $70 million.
Served as outside counsel in the purchase of five medical office buildings in sale/leaseback transaction with hospital in Birmingham, Alabama valued at more than $30 million.
Represented the client in the ground lease and sale of improvements for a medical office building in Orange County, New York.
Represented the purchaser in acquiring and financing three hospital POB’s, two of which buildings were converted to condominium ownership.

Long Term Care Facilities
Represented a regional long term care provider in the leasing of a package of 12 facilities, including the negotiation of the lease with a REIT, the negotiation of operations transfer agreements with the previous operator, the negotiation of working capital financing with a commercial lender, and overseeing the regulatory approvals related to the transaction.
Acted as local counsel to assist with real estate and regulatory matters in connection with sales, mergers, financings and reorganizations of numerous national and regional long term care and senior housing providers.
Served as counsel to borrowers and lenders in dozens of healthcare financings, both in single asset and multi-facility transactions, including bond financings, REIT transactions, HUD financings, commercial loans, seller financings and accounts receivable financings.
